1. Introduction

These Service Terms (“Terms”) govern your use of services provided by Tackli (“we,” “our,” or “us”). By engaging our services, you agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree to these Terms, please do not engage our services.

2. Services Offered

Tackli provides the following digital services:

2.1 Tackli Sites

Website design and development services, including but not limited to:

  • Custom website design
  • WordPress and Shopify development
  • Responsive mobile-friendly design
  • Content management system setup
  • Basic SEO implementation

2.2 Tackli Boost

Search engine optimization and digital marketing services, including:

  • SEO audits and strategy
  • Content optimization
  • Technical SEO improvements
  • Performance monitoring and reporting

2.3 Tackli Studio

Custom development services for complex projects:

  • Custom web applications
  • Dashboards and portals
  • API integrations
  • Bespoke functionality development

2.4 Tackli Labs

Development of plugins, tools, and applications as specified in individual project agreements.

2.5 Tackli Brand

Brand review and consultation services:

  • Brand audits
  • Logo and identity review
  • Brand strategy consultation
  • Redesign recommendations

3. Engagement Process

3.1 Initial Consultation

All projects begin with an initial consultation to understand your requirements. This consultation is provided free of charge and does not constitute a binding agreement.

3.2 Proposal and Quotation

Following the consultation, we will provide a written proposal outlining:

  • Scope of work
  • Deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Any exclusions or limitations

3.3 Agreement

Services commence only after you have accepted our proposal in writing (email acceptance is sufficient) and any required deposit has been received.

4. Pricing and Payment

4.1 Pricing

All prices are quoted in British Pounds (GBP) and are exclusive of VAT unless otherwise stated. Prices are valid for 30 days from the date of quotation.

4.2 Payment Terms

Standard payment terms are as follows:

  • Deposit: 50% of the total project cost is due upon acceptance of the proposal
  • Final Payment: Remaining 50% is due upon project completion and before final delivery
  • Ongoing Services: Invoiced monthly in advance for retainer-based services

4.3 Late Payment

Invoices are due within 14 days of the invoice date. Late payments may incur interest charges at a rate of 4% above the Bank of England base rate.

4.4 Additional Costs

Any costs not included in the original proposal (e.g., third-party licenses, stock images, premium plugins) will be quoted separately and require your approval before purchase.

5. Project Timeline and Deliverables

5.1 Timeline

We will make reasonable efforts to meet agreed timelines. However, timelines are estimates and may be affected by:

  • Delays in receiving content or feedback from you
  • Changes to the project scope
  • Technical issues beyond our control
  • Third-party service delays

5.2 Client Responsibilities

You are responsible for:

  • Providing timely content, assets, and feedback
  • Ensuring you have rights to all materials provided
  • Providing access to necessary accounts and systems
  • Reviewing and approving deliverables within agreed timeframes

5.3 Revisions

Each project includes a specified number of revision rounds as outlined in the proposal. Additional revisions beyond the agreed scope will be charged at our standard hourly rate.

6. Intellectual Property

6.1 Ownership Upon Payment

Upon receipt of full payment, you will own the final deliverables created specifically for your project. This includes:

  • Custom design elements
  • Bespoke code written for your project
  • Content created on your behalf

6.2 Retained Rights

We retain ownership of:

  • Reusable code libraries and frameworks
  • General methodologies and processes
  • Pre-existing materials and templates

6.3 Third-Party Assets

Third-party components (plugins, themes, stock images, fonts) remain the property of their respective owners and are subject to their licensing terms.

6.4 Portfolio Use

We reserve the right to display completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

7. Warranties and Guarantees

7.1 Our Warranties

We warrant that:

  • Services will be performed with reasonable skill and care
  • Work will be free from defects for 30 days after delivery
  • We have the right to provide the services

7.2 Website Functionality

We guarantee that websites will function as specified in the proposal on modern, up-to-date browsers and devices at the time of delivery. We cannot guarantee compatibility with outdated browsers or future browser updates.

7.3 Disclaimer

Except as expressly stated in these Terms, all warranties, conditions, and terms (whether express or implied by statute, common law, or otherwise) are excluded to the fullest extent permitted by law.

8. Ongoing Support and Maintenance

8.1 Support Period

We provide 30 days of free support after project delivery for bug fixes and technical issues directly related to our work.

8.2 Maintenance Services

Ongoing maintenance, updates, and support beyond the initial 30-day period are available under separate maintenance agreements.

8.3 Out of Scope

The following are not covered under standard support:

  • Third-party plugin or theme updates
  • Hosting or server issues
  • Content updates or changes
  • New features or functionality
  • Training or tutorials

9. Limitation of Liability

9.1 Liability Cap

Our total liability under these Terms shall not exceed the total fees paid by you for the specific services giving rise to the claim.

9.2 Excluded Damages

We shall not be liable for:

  • Loss of profits or revenue
  • Loss of business opportunity
  • Loss of data or corruption of data
  • Indirect or consequential losses

9.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded by law

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This obligation continues after the termination of services.

11. Termination

11.1 Termination by You

You may terminate services at any time by providing 14 days’ written notice. You will be charged for all work completed up to the termination date, plus any non-refundable costs incurred.

11.2 Termination by Us

We may terminate services immediately if:

  • You breach these Terms
  • Payment is more than 30 days overdue
  • You fail to provide necessary materials or cooperation

11.3 Effect of Termination

Upon termination:

  • All outstanding invoices become immediately due
  • We will provide you with work completed to date (upon payment)
  • We retain the right to use the work in our portfolio

12. Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, war, riot, terrorism, or failure of third-party services.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
